ApexMile Terms of Service

Version: 2026-10-31. Effective: October 31, 2026.

These terms are available in English only.

These terms are an agreement between Kansensus, LLC, a limited liability company (“ApexMile”, “we”) and the business that creates an ApexMile account (“Customer”, “you”). The person who accepts them confirms they may bind that business.

1. The service

ApexMile is decision-support software for trucking fleets. It reads your fleet’s telemetry from Samsara and your load records from your transportation management system (TMS) exports, and, when a dispatcher checks a load, estimates what that load is worth to your fleet and the lowest rate worth accepting (“walk-away rate”). It includes a Chrome extension and the Insights dashboard.

ApexMile recommends; your people decide. It does not book, accept, tender or reject loads, does not contact brokers or shippers, and does not dispatch drivers. Every decision about a load, a rate, a driver or a truck is yours.

2. Who may use it

The service is for businesses operating trucking fleets in the United States with at least 25 trucks connected through Samsara: setup does not accept a Samsara account with fewer than 25 vehicles. It is not for consumers. You must give accurate account information and keep it current.

3. Accounts and security

You are responsible for your users and everything done under your account. Each person uses their own login and their own extension key; keys and passwords must not be shared. Tell us at hello@apexmile.com promptly if you believe an account, key or password has been compromised. An account owner or manager can disable a user and revoke keys at any time in the app.

4. Your data and the connections you authorize

5. Recommendations are estimates

Recommendations come from your inputs (costs, fuel economy, diesel price), your own load history and current telemetry. They can be wrong when that data is wrong, missing or stale, which the service shows where it can (for example, data age and trucks left out). They are not a guarantee of revenue, profit, safety or compliance. You remain responsible for hours-of-service compliance, safety, and every contract you sign.

6. Trial, plans and billing

7. Acceptable use

You will not: use the service for anything unlawful; scrape or automate third-party sites through it in breach of their terms; try to access another customer’s data; probe, overload or bypass the service’s limits or security; resell it; or reverse engineer it except where the law allows.

8. Availability and changes

We work to keep the service available but do not promise it will be uninterrupted or error-free. We may change features; we will not remove a core function you pay for without notice.

We keep no backups of the service’s database. Before a software update that changes the structure of the database, we may take one copy of it, kept only on ApexMile’s private server storage and deleted within 7 days, used only to undo a failed update. If the hosting fails and data is lost, we cannot restore it. Keep your own exports from your TMS, and download your decision records (CSV) from the app if you want a copy.

9. Suspension and termination

We may suspend access for non-payment, a security risk, or a serious breach of these terms, and will tell you why. You may close your account at any time in the app. On closing, we delete your Samsara token at once and delete or anonymize your other data within 30 days, except what the law requires us to keep. You can export your decision records (CSV) before closing.

10. Confidentiality

Each party keeps the other’s non-public information confidential and uses it only for this agreement.

11. Warranties and liability

To the extent allowed by law, each party’s aggregate liability arising out of these terms is capped at the fees the Customer paid for the service in the 12 months before the event giving rise to the claim. To the extent allowed by law, neither party is liable for indirect, incidental, special or consequential damages, including lost profits or anticipated savings.

12. General

Governing law: Delaware. Exclusive venue is the state courts in New Castle County, Delaware, or the U.S. District Court for the District of Delaware where it has jurisdiction, subject to mandatory applicable law. We may update these terms; a material change is announced by email or in the app at least 30 days before it applies, and continued use after that date is acceptance.
